CONSTITUTION & BY-LAWS OF FRIENDS OF OLD ROCHESTER MUSIC

“CONSTITUTION”

ARTICLE I: NAME

The name of this Organization shall be the Friends of Old Rochester Music, Inc.

ARTICLE II” OBJECT OF THE ORGANIZATION

Section 1 – To arouse and maintain an enthusiastic interest in the various phases of instrumental and vocal music.

Section 2 – To lend all possible support both moral and financial, to the instrumental and vocal music programs.

Section 3 – To cooperate with those in charge of all phases of the Music Departments to the end that these Departments be brought up and kept up to the highest possible degree of efficiency.

ARTICLE III: MEMBERSHIP

Section 1 – The membership shall be open.

Section 2 – Parents of pupils in the school music programs are considered to be automatically active members.

ARTICLE I: NAME

ARTICLE I: OFFICERS AND THEIR DUTIES

Section 1 – The Officers of this Organization shall be a President, Vice-President, Secretary, and Treasurer.

Section 2 – The PRESIDENT shall preside at all meetings of the Organization and shall be an ex-officio member of all committees.

Section 3 – The VICE-PRESIDENT shall assume all duties of the President in his or her absence.

Section 4 – The SECRETARY shall keep an accurate record and minutes of all meetings, attend to all correspondence, and maintain copies of The Articles of Organization and dated revisions of the Constitution and By-Laws.

Section 5 – The TREASURER shall collect all monies, keep an accurate record of all receipts and disbursements, showing each activity separately as well as keeping a complete record of all funds. Financial reports will be prepared and submitted to government agencies as required by law, such as the Annual Report of a Public Charity submitted to the Massachusetts Attorney General’s Office.

ARTICLE II: THE EXECUTIVE BOARD

Section 1 – The Executive Board shall be composed of the officers of this organization, the Publicity Chair, the Advocacy Chair, the Ways and Means Chair, the Music Directors and Staff, and one Student Representative.

Section 2 – The Executive Board shall meet prior to the opening of school each academic year.

ARTICLE III: MEETINGS

Section 1 – Regular monthly meetings will be scheduled September through May by the Executive Board.

Section 2 – The annual meeting shall be the regular MAY meeting.

Section 3 – Special meetings shall be called by the President.

ARTICLE IV: STANDING COMMITTEES

Section 1 – There will be the following Standing Committees: Publicity, Advocacy, Ways and Means.

ARTICLE V: ELECTIONS

Section 1 – A Nominating Committee shall be appointed by the Current Officers and shall report at the March meeting of each year. Additional nominations may be made from the floor after the report of the Nominating Committee has been presented.

Section 2 – Officers are to be elected and installed at the Annual Meeting.

ARTICLE VI : AUTHORITY: ROBERTS RULES

Section 1 – Rules of Order, revised, shall govern this Organization.

Section 2 – A quorum of five members shall be required to transact business.

ARTICLE VII: AMENDMENTS

Section 1 – The Constitution and By-Laws may be amended by a majority vote of the quorum present at any regular meeting. The amendments must have been presented at a preceding meeting of the Organization.

Section 2 – Copies of the amended Constitution and By-Laws shall be made available to the membership.

ARTICLE VIII: FISCAL YEAR

Section 1 – The Fiscal Year will run from July 1 to June 30 each year.
